Terms of Service

The rules for accessing the VendorLink mobile app, website, and related vendor visibility services.

1. Who we are

VendorLink is provided by VTJ TRADING.

VendorLink is a business application for vendors to view product, outlet, stock, price, commission, inventory, and related operational information linked to their vendor account.

These Terms of Service govern your access to and use of the VendorLink mobile application, the website at https://vendorlink.my, and related communications or services provided by VTJ TRADING.

2. Agreement to these terms

By visiting the website, communicating with us, or using VendorLink, you agree to these terms.

If you use VendorLink on behalf of a business, vendor, supplier, store, or organization, you confirm that you have authority to use VendorLink for that party and to accept these terms on its behalf.

If you do not agree to these terms, do not access or use VendorLink.

3. Accounts and access

VendorLink accounts are created and managed by an administrator, store operator, or other authorized business user. Users cannot create accounts directly inside the app.

  • You must use only the account credentials provided or approved for you.
  • You are responsible for keeping your login details confidential and for activity that occurs under your account.
  • You must notify us or the relevant administrator promptly if you believe your account has been accessed without authorization.
  • Access is not transferable and may be limited to active vendors, authorized staff, or approved business users.
  • We may suspend, restrict, or remove access where necessary to protect VendorLink, business records, stores, vendors, users, customers, or platform integrity.

4. Relationship with business arrangements

Vendor registration, product placement, consignment, pricing, commission, settlement, payout, returns, product handling, stock handling, and other commercial arrangements may be governed by separate agreements, store policies, invoices, purchase documents, settlement records, or written instructions from an administrator or store operator.

These terms govern digital access to VendorLink. If there is a conflict between these terms and a separate signed or expressly agreed commercial arrangement, the separate arrangement will control for the conflicting commercial terms. These terms continue to apply to app access, website access, account use, security, records, and platform behavior unless the separate arrangement says otherwise.

5. What VendorLink does

VendorLink is designed as a vendor visibility tool. It allows authorized users to view business information linked to their vendor account.

  • View products linked to the vendor account.
  • View outlet or store information connected to those products.
  • View stock balances, inventory records, and related operational records.
  • View product prices, commission information, and other vendor-related information where enabled.
  • Receive service, account, update, or support communications related to VendorLink.

6. What VendorLink does not do

Unless we expressly release a feature and update the relevant terms, VendorLink is not intended to be a customer checkout system, ecommerce marketplace, payment processing service, delivery platform, accounting system, payout approval system, or vendor-side stock editing system.

Vendors do not directly edit product records, stock records, sales records, settlement records, payout records, or accounting records through VendorLink. Those records are managed by authorized administrators, store operators, backend systems, POS systems, or other approved business workflows.

7. Vendor and user responsibilities

  • Provide accurate, complete, and current information when communicating with us or with an administrator or store operator.
  • Use VendorLink only for authorized business purposes.
  • Keep account credentials secure and do not share access with unauthorized persons.
  • Comply with applicable laws, regulations, business agreements, store policies, and administrator instructions.
  • Do not provide illegal, unsafe, counterfeit, infringing, misleading, expired, recalled, or otherwise unlawful products or product information.
  • Ensure that any product information, business information, or other content you provide is accurate and that you have the right to provide it.

8. Records, stock, and reports

VendorLink displays information from backend systems, POS systems, APIs, administrative entries, inventory records, and other business systems. Some information may be delayed, incomplete, pending verification, corrected later, reconciled, or adjusted because of returns, stock counts, manual corrections, system issues, settlement review, or operational changes.

VendorLink is provided for visibility. The final source of truth for commercial, stock, sales, settlement, payout, accounting, tax, and operational records is the applicable backend system, administrator-approved record, store record, signed agreement, invoice, settlement record, or other official business record.

Screenshots, exports, or temporary app displays should not be treated as final settlement, payout, accounting, or stock confirmation unless confirmed by an authorized administrator or official business record.

9. Acceptable use

  • Do not use VendorLink for unlawful, fraudulent, harmful, deceptive, abusive, infringing, or unauthorized purposes.
  • Do not interfere with platform security, availability, performance, or integrity.
  • Do not scrape, crawl, copy, reverse engineer, bypass access controls, or misuse VendorLink systems, accounts, reports, or data except where permitted by law or authorized by us in writing.
  • Do not submit malware, spam, false information, misleading content, offensive content, or content that violates another person's rights.
  • Do not impersonate another person or business, misrepresent your affiliation, misuse credentials, manipulate reports, or attempt to alter stock, sales, payout, settlement, reconciliation, accounting, or platform records without authorization.

10. Content and intellectual property

VTJ TRADING owns or licenses VendorLink, the website, branding, software, design, text, graphics, icons, workflows, and platform materials, except for content provided by users, vendors, stores, service providers, or other third parties.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or exploit VendorLink or our materials without permission, except where applicable law allows.

If you provide business names, vendor names, product names, product descriptions, product photos, prices, commission information, messages, feedback, or other materials, you grant VTJ TRADING a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, adapt, process, and use that content as needed to operate VendorLink, support vendors and stores, maintain business records, troubleshoot issues, protect the platform, and communicate about the service. You confirm that you have the rights needed to provide that content.

11. Third-party services

VendorLink may use or connect to third-party services, including hosting, databases, app stores, email, backend infrastructure, POS systems, APIs, support tools, security tools, monitoring tools, backups, accounting tools, or other business services.

We are not responsible for third-party content, systems, policies, availability, security, or practices. Your use of third-party services may be governed by their own terms and privacy policies.

12. Availability, updates, and changes

We may change, suspend, discontinue, limit, update, or replace any part of VendorLink at any time. Features may be released as beta, pilot, preview, or experimental features and may contain errors or change substantially.

VendorLink may be unavailable, delayed, interrupted, inaccurate, or changed because of maintenance, app updates, network issues, third-party service issues, backend changes, POS updates, reconciliation, corrections, or operational needs.

You are responsible for installing app updates where required for security, compatibility, or continued access.

13. Privacy

Our Privacy Policy explains how VTJ TRADING collects, uses, discloses, stores, and protects information for VendorLink, the website, and related business operations.

14. Disclaimers

VendorLink is provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation.

We do not guarantee that VendorLink will meet your requirements, be error-free, be available at any particular time, display real-time records, or provide final commercial, stock, settlement, payout, accounting, or tax results.

Nothing in these terms excludes or limits rights or liabilities that cannot be excluded or limited under applicable law.

15. Limitation of liability

To the fullest extent permitted by law, VTJ TRADING and its owners, officers, employees, contractors, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, inaccurate records, delayed records, platform downtime, or third-party service issues arising from or related to VendorLink.

Where liability cannot be excluded, our total liability will be limited to the amount you paid to VTJ TRADING for the relevant digital service in the three months before the event giving rise to the claim, or RM100 if no amount was paid for that digital service, unless applicable law requires a higher amount.

16. Indemnity

You agree to defend, indemnify, and hold harmless VTJ TRADING from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from your use of VendorLink, your account activity, shared credentials, your content, your products, your product information, your business arrangements, your violation of these terms, your breach of law, your product safety or compliance issues, or your infringement of another person's rights.

17. Suspension and termination

We may suspend, restrict, or terminate access to VendorLink, disable accounts, remove content, restrict vendor activity, or take other reasonable action if we believe there is a violation of these terms, inaccurate information, legal risk, fraud risk, security risk, operational risk, product risk, customer risk, harm to VendorLink, harm to users, harm to stores, or harm to platform integrity.

You may stop using VendorLink at any time. Ending app use does not automatically end any separate vendor agreement, product arrangement, payment obligation, product return issue, dispute, or legal obligation.

18. Governing law

These terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. Courts in Malaysia will have jurisdiction over disputes unless applicable law requires another forum.

19. Changes to these terms

We may update these terms from time to time. The updated terms will be posted on this page with a new effective date. Continued use of VendorLink after changes take effect means you accept the updated terms.
